What is a Reg A+?
Regulation A+ is an SEC exemption that allows eligible companies to raise capital from both accredited and non-accredited investors through a qualified public offering.
Unlike private placements that are generally limited to accredited investors, Regulation A+ enables broader public participation. It democratizes investment by enabling the public to invest in growth-stage companies like BluSky AI.
Why is BluSky AI offering a Regulation A?
The Company is raising capital to support its growth strategy, including expanding its modular AI Factory platform, developing additional infrastructure, funding operations, pursuing strategic opportunities, and for general corporate purposes, as described in the Offering Circular.
This offering provides investors the opportunity to support our growth and expansion plans, while sharing in any future success that the company may have as equity shareholders.
Who is eligible to invest? Do I need to be an accredited investor?
Both accredited and non-accredited investors can invest in this opportunity.
What is the minimum and maximum investment?
The minimum investment is $1,001. There is no limit for Accredited Investors. Non-accredited investors are limited to no more than 10% of their net worth or annual income, whichever is greater.
Are there additional fees when I invest?
No, there are no additional fees when investing. The investment amount is divided by the Reg A price for the total number of shares to be placed into the investor's account.
What am I purchasing?
You are purchasing free trading shares of BluSky AI (BSAI) stock. BSAI is currently traded on the Over-the-Counter Markets (OTC). The process takes just minutes to fill out the online questionnaire, add a signature, select payment, and click on SUBMIT. Colonial Stock Transfer Agent provides a new account registration and administers newly issued shares within an average of 30 days of purchase.
What forms of payment do you offer for investing?
The payment gateway accepts credit cards, ACH bank payments, bank wire transfers, trust transfers, and 401K transfers.
Payments are securely processed through an established third-party payment processor. If there is a question about how to make a payment, send questions to: invest@bluskyaidatacenters.com
How do I invest?
Investors may:
- Review the Offering Circular.
- Complete the online subscription process.
- Select payment method and checkout. Funding can be immediate with a credit card, or take 7 to 10 days if a bank transfer. The investment portal will guide you through each step and takes just minutes to submit.
How do I receive my shares?
Once a purchase is made on the invest.bluskyaidatacenters.com website, there can be a 3-to-14-day period for the funds to clear and to be received by DealMaker Securities. DealMaker sends investor information for BluSky AI to authorize new share issuance to Colonial Stock Transfer Agent.
Colonial Stock Transfer creates an account for the new shareholder. Colonial sends the new shareholder an email with their new account information. The full process usually takes less than 30 days.
The stockholder may hold their shares within the Colonial Stock account, or they may request to transfer those shares to an online brokerage account who accepts OTC stocks.
Is my investment restricted from trading?
Regulation A+ (Tier 2) shares in this offering are not restricted, and the shares are not subject to a mandatory SEC holding period. Shares are sent to a Colonial Stock Transfer account. Shares are registered on the OTC (Over-the-Counter Market): otcmarkets.com/stock/BSAI/overview
When will I receive my bonus shares?
Individuals who purchase shares at the $2K, $5K, $10K, $25K, and $50K levels will receive bonus shares. Those shares are listed in your invest portal. Those shares will be distributed at the conclusion of the Regulation A funding round. The system adds all purchases to be applied towards the bonus levels for investors who invest multiple times during the raise. Investors will be notified of their share distribution via Colonial Stock Transfer.
Will I receive stock certificates?
Shares are issued electronically through the Company's transfer agent, Colonial Stock Transfer. Physical certificates are typically not issued.
Why invest through the Regulation A offering instead of buying shares in the open market?
Investing through BluSky AI's Regulation A+ offering provides an opportunity to purchase newly issued shares directly from the Company. Proceeds from the offering are intended to support the Company's growth strategy as described in the Offering Circular.
Purchasing shares in the open market is different because those transactions typically involve buying existing shares from another shareholder through a brokerage account. In those transactions, the purchase price is paid to the selling shareholder rather than to BluSky AI. The current Regulation A offering provides a newly issued number of shares in quantities that may not be available in the open markets at this time.
Whether an investor chooses to participate in the Regulation A+ offering or purchase shares in the open market is a personal investment decision that depends on individual circumstances, investment objectives, and market conditions.
Can I invest through an IRA or a self-directed retirement account?
In most cases, yes. Investors may be able to participate in the BluSky AI Regulation A+ offering through a self-directed Individual Retirement Account (IRA) or other eligible self-directed retirement account, subject to the requirements of their IRA custodian or administrator.
Because retirement accounts are administered by third-party custodians, the investment process and documentation may vary depending on the custodian. Investors should consult their IRA custodian, financial advisor, or tax professional to determine whether this investment is appropriate for their retirement account and to understand any applicable fees, procedures, or tax considerations.
The investment checkout process has a simple guide to walk investors through the process. If you have questions or need assistance on the online website, send an email to: invest@bluskyaidatacenters.com
How will you use the funds raised?
This shareholder offering supports our expansion, in conjunction with GPU, server and equipment debt equity financing, to lease or purchase sites under current LOI agreements, develop site locations, marketing, and support general operations to scale the business.
How does the company plan to balance growth capital needs with dilution?
BluSky AI is using its Regulation A offering to broaden investor access while continuing to trade on the OTC Markets. Our approach to capital formation is intentionally balanced: we are focused on securing the growth capital required for multi-site deployment while managing dilution responsibly.
We do this through a combination of equity, structured financing, and project-level capital solutions that align with our modular rollout model.
How do you scale with a balanced capital strategy?
Our modular SkyMod model is designed to scale in phases, which naturally supports a balanced capital strategy.
We raise equity to unlock early-stage development and manufacturing, then layer in debt and project financing as sites progress. This approach helps us expand capacity while managing dilution for existing shareholders.
Disclosure note: Any future financing decisions, site-specific capital structures, or deployment timelines will be communicated through formal press releases once they are ready for public disclosure.
How do you see BluSky AI plugging into the broader ecosystem?
Could BluSky AI become a solution for larger cloud or AI platform companies?
BluSky AI is building infrastructure that naturally complements the broader AI ecosystem rather than competing with it. Our focus on AI-specialist Neocloud capacity positions us to serve as an extension of the industry's existing compute landscape, especially for organizations facing GPU scarcity, latency constraints, or the need for rapid deployment. With a distributed portfolio of locations ready for development, there are specific locations that may benefit other Neoclouds or traditional cloud companies where BluSky AI becomes a white space or colocation solution provider.
What does BluSky AI do?
BluSky AI Inc. (OTC: BSAI) is an AI infrastructure company focused on developing modular AI Factory facilities designed to support high-performance computing for artificial intelligence training, inference, and enterprise AI workloads.
Our strategy is centered on developing scalable infrastructure intended to help meet the growing demand for AI compute capacity.
The Company's strategy includes:
- Modular AI Factory development
- AI infrastructure deployment
- High-performance compute capacity
- Infrastructure supporting AI training and inference workloads
Is BluSky AI a public company?
Yes. BluSky AI is a public company listed as BSAI on the OTC Markets (Over-the-Counter Markets). The company listing is: otcmarkets.com/stock/BSAI/overview
What is the outlook of the industry?
In the late 90s, a tech boom resulted from the introduction of the internet. The internet infrastructure companies became the future tech darlings on Wall Street. Today, there is an even greater opportunity in developing the core infrastructure for AI's insatiable demands.
NVIDIA has stated that AI grew by 1M percent in the last two years. McKinsey & Company predicts AI investment will surpass $7.1 trillion dollars by 2030. PriceWaterhouse predicts $31.6 trillion dollars will be spent on infrastructure by 2050 for AI. Goldman Sachs predicts 175% increase in energy needed for AI by 2030 and a 24x increase of enterprise demand.
The industry identified problem: demand is greater than supply. There are limited AI compute resources, and it takes 3 to 7 years to build out the largest data centers. BluSky AI is planning to benefit by shortening the time to market to 12 to 16 months per location through prebuilt, modular SkyMod AI factories.
How is BluSky AI positioned in the marketplace?
- Positioned to target global AI adoption and expanding compute
- High-performance GPU infrastructure and AI compute
- Expected speed to market over traditional data center buildouts
- Smaller footprints, less energy, minimal water use
- Portfolio of locations under contract and ready for scale
- Scalable digital infrastructure designed for long-term growth
- Experienced leadership focused on AI infrastructure development and operations
Why modular AI infrastructure?
Traditional hyperscale data centers can require significant time and capital to develop (3 to 7 years).
BluSky AI's modular approach is designed to provide a scalable deployment model intended to reduce construction timelines while supporting AI infrastructure expansion.
Note: Future SkyMod AI Factories are industrial-grade, heavy steel, specific high-density AI compute infrastructures that will be built in a controlled factory environment. Each unit is shipped via semi-trucks.
Where will BluSky AI operate?
The Company intends to develop AI Factory locations throughout the United States. Current and planned projects are described in the Company's public filings and press releases. The company currently has a portfolio of locations. The portfolio is available on the invest website and also on the investor deck available on the website.
Do you have any clients interested in BluSky AI's capacity?
Yes. BluSky AI is engaged with numerous organizations that have expressed interest in accessing BSAI capacity or are reserving future capacity. BluSky AI has ongoing discussions with prospective customers and industry participants regarding potential future AI compute capacity. Unless formally announced through a press release or SEC filing, the Company does not disclose customer identities, contract status, or potential commercial relationships.
How does BluSky AI address community concerns over data center development?
BluSky AI's modular, distributed SkyMod architecture is designed to operate with a materially lighter environmental footprint than traditional mega-data centers. While we do not make site-specific environmental claims until formally disclosed, the structural characteristics of our model inherently support stronger ESG alignment.
1. Smaller, distributed sites reduce grid and land impact
- Lower land intensity
- Better grid integration
- Geographic diversity
2. Closed-loop or air-cooled systems reduce water use
- Minimal or zero water consumption
- Improved sustainability profile
- Predictable environmental footprint
3. Modular architecture improves energy efficiency
- Factory-built thermal systems
- Right-sized deployments
- Optimized for high-density AI workloads
4. Reduced construction footprint
- Less concrete, steel, and heavy civil work
- Shorter construction timelines
- Lower embodied carbon per MW
5. Community-aligned development
- Smaller sites integrate more easily into local communities, without the traffic, noise, or multi-year construction impacts of mega-campuses.
- Distributed economic benefits: multiple regions gain access to jobs, tax revenue, and infrastructure investment rather than concentrating benefits in a single location.
How do I keep up with how the company is doing?
At a minimum, the company will be filing quarterly reports with the OTC (Over-the-Counter Markets) at otcmarkets.com/stock/BSAI. All company press releases can be found under the News section there, as well as company financials. This information is also provided on the company's website at bluskyaidatacenters.com/investor-relations.
If you would like to receive company announcements at the time of press releases and other company updates, all registered Regulation A investors will receive email notifications. You may also sign up for company updates at bluskyaidatacenters.com/contact-us.
